• What if I mess up?

• What if they ask something I don’t know?

• What if they just don’t get it?

And if you haven’t landed a meeting yet, these same questions are probably still running through your mind. So, what should you do?

Take a deep breath. Investors are humans, too (even if they sometimes seem intimidating). They see hundreds of pitches every year. They have limited time and are looking for a potent mix of a great idea, market opportunity, execution capability, and a solid team.

This article will walk you through everything you need to research, refine, and rehearse before stepping into your first investor meeting.

Step 1: Research the Investor (Know Who You're Meeting)

The biggest mistake you can make as a founder is walking into a meeting without knowing enough about the investor.

It’s like going on a first date without knowing anything about the other person. Awkward, right? That’s exactly what happens when you pitch to an investor without understanding their background, interests, or past investments. You might be talking about your revolutionary AI startup, but if they primarily invest in consumer brands, you’ve already lost them.

What You Need to Find Out

• Their Investment Focus: Do they invest in your industry? Are they interested in early-stage startups or prefer Series A+?

• Their Portfolio: Have they invested in companies similar to yours? If yes, that could be a plus (they understand your space). If not, will they still see the value?

• Their Background: Are they ex-entrepreneurs, VCs, or corporate executives? This helps you understand their perspective.

• Past Investments & Writing: Have they written blogs, given talks, or shared insights that indicate what they are looking for?

Knowing these things helps you customise your pitch, build a connection, and ask smarter questions. The best investor-founder relationships are partnerships, not transactions.

Step 2: Refine Your Pitch Deck

Your pitch deck is your storytelling tool- it needs to be concise, engaging, and data-driven. Investors see hundreds of decks, so you have seconds to grab their attention and minutes to keep it.

A great deck should cover

• The problem you’re solving (Make them feel the pain!)

• Your solution (Why is it brilliant?)

• Product Overview (Briefly showcase how your product works- include screenshots, demo)

• Market opportunity (How big is the prize?)

• Traction (Any proof that people love what you’re building?)

• Business model (How do you make money?)

• Competitor landscape (Why are you the better bet? Who else is in this space?)

• Financials (Your 3-5 year financial roadmap- revenue forecasts, burn rate, break-even point)

• Your funding ask (How much you need and what you’ll do with it)

Pro Tip: Keep an ideal length of 10-12 slides. Remember, your pitch deck isn’t about getting an investment on the spot. It’s about getting to the next meeting.

Step 3: Get Comfortable with Your Numbers

This part scares a lot of founders. Maybe you're more of a “big vision” person- someone who thrives on ideas, storytelling, and strategy. Numbers? It's not really your thing. That’s okay- but if you're raising money, you must know the basics.

Key Financial Metrics Investors Will Ask About

• Revenue & Growth Rate: If you’re making money, how fast are you growing

• Burn Rate & Runway: How much are you spending per month? How long before you run out of cash?

• Customer Acquisition Cost (CAC): How much does it cost to acquire a customer?

• Lifetime Value (LTV): How much revenue does an average customer generate over their lifetime?

• Churn Rate: How many customers leave over time?

• Unit Economics: Are you making money per sale, or are you losing money to acquire customers?

• Fundraising Ask & Valuation: Why are you raising this amount, and how did you arrive at this valuation?

Investors have seen too many decks with hockey-stick growth charts that have zero grounding in reality. If you show exponential growth without a solid justification, you’ll lose credibility fast.

Instead, be realistic and data-driven when presenting your financial projections.

Pro Tip: Look at similar companies in your space & use comparable data. If no startup in your industry has grown at 500% YoY, why would yours?

Step 4: Prepare for Tough Questions

Investors are professional sceptics. They ask tough questions, challenge assumptions, and pressure-test your business model. This isn’t to tear you down- it’s to assess risk and see if you truly understand your business. If an investor can easily poke holes in your pitch, they’ll assume the market will, too.

Common Investor Questions & How to Answer Them

• What makes you different from competitors?

Show unique differentiation (tech, execution, partnerships, distribution).

• Why now? Why hasn’t this been done before?

Highlight market shifts, technology advancements, or customer behaviour changes that make your startup possible today.

• What if a bigger player copies you?

Focus on your moat- team expertise, execution speed, brand, partnerships, etc.

• What’s the biggest risk to your business?

Show that you’ve identified risks and have a mitigation plan in place.

Pro Tip: Practice answering these with a mentor or founder friend. Rehearse until you sound natural, not scripted. Keep your pitch under 15 minutes to leave room for discussion.

Step 5: Plan Your Follow-Up Strategy

Your job doesn’t end when the meeting does. Most investors won’t commit on the spot- funding decisions take time. Even if your pitch goes well, don’t expect an immediate “Yes, here’s a cheque” moment. Think of the process as relationship-building rather than a one-time transaction.

Follow-Up Checklist

• Follow up quickly: Within 24 hours, send a thank-you email recapping key points from your conversation.

• Address their concerns: If they have doubts or ask tough questions, don’t ignore them. Provide data, case studies, or market insights to strengthen your case.

• Keep them in the loop: Investors track progress. Share an update if you hit a key milestone (revenue growth, a new partnership, product launch).

• Stay persistent, not pushy. Some investors take weeks (or months) to decide. If they say, “Not now,” ask if you can check in later. Keep the door open.

Final Thoughts

Raising funds in 2024 wasn’t easy- investment in Indian startups hit a four-year low of $2.7 billion, as big players like SoftBank and Tiger Global focused on backing their existing bets rather than making new ones.

Equity ensures that everyone who contributes- whether it’s a co-founder, an early employee, or an investor- gets a fair share of the value they helped create. But when you’re building a company, it’s easy to get caught up in the hustle- developing your product, landing customers, and pitching to investors. Most often, this critical factor gets overlooked.

In this article, we’ll break down the real dynamics of equity, its types and how to structure your equity from day one. We’ll help you answer some key questions like-

• Who owns what?

• How much should you give to a co-founder, an early employee, or an investor?

Equity: Definition

Equity determines the percentage of a company that a person or entity holds. Equity holders benefit financially from company growth but may not always have decision-making power (e.g., minority shareholders).

Equity is typically divided into shares, which represent proportional ownership in a company. For example, if a startup has 1 million shares outstanding, and an investor owns 100,000 shares, they have a 10% ownership stake in the business.

So, if someone has equity in your startup, does that mean they own it? Not necessarily. Let’s take a closer look at how equity and ownership are related- but not always the same.

Ownership vs. Equity: Key Differences

While ownership refers to having control or rights over a business or asset, equity specifically represents ownership in financial terms, usually in the form of shares.

A founder may have ownership in a company without necessarily having equity if structured through alternative agreements (e.g., contracts, partnerships).

Types of Equity

Equity in a company can take many forms, depending on who holds it and how it is structured.

1. Founder Equity

Founder Equity is the initial ownership split among the company’s creators. While some founders opt for an equal split, others allocate ownership based on contributions, responsibilities, or future commitments.

To ensure long-term commitment, founders often have vesting schedules, meaning their equity is earned over time rather than granted upfront.

Many start off thinking they’ll own a majority of their company forever, only to realise that their stake gets smaller with each funding round.

A founder who starts with 100% may end up with less than 10% by the time the company exits. That’s not necessarily a bad thing- sometimes a smaller piece of a much bigger pie is worth more- but it can feel like losing ownership of something you built from the ground up.

2. Common Stock

Common Stock is the most basic form of equity, typically issued to founders, employees, and early investors. It usually comes with voting rights, allowing holders to participate in company decisions.

However, in case of an acquisition or liquidation, common stockholders are paid last after all debts and preferred shareholders are settled.

3. Preferred Stock

Preferred Stock is mainly issued to investors such as venture capitalists or angel investors and comes with special privileges like liquidation preferences, anti-dilution rights, and dividend payouts. These privileges give investors financial protection and often more influence over company decisions.

It can be:

• Participating Preferred Stock – Investors get both their liquidation preference and a share of remaining profits, making it extra favourable to them.

• Non-Participating Preferred Stock – Investors only get their liquidation preference (and don’t participate in additional profits).

4. Employee Equity (Stock Options)

Stock Options (as part of an Employee Stock Ownership Plan or ESOP) allow employees to purchase shares at a fixed price after a vesting period, giving them a stake in the company's success. However, options can lose value if the stock price doesn’t increase.

It’s a great tool to attract talent, align incentives, and retain employees by giving them a stake in the company’s success.

5. Restricted Stock Units (RSUs)

Restricted Stock Units (RSUs) are a type of equity compensation commonly offered to employees, especially in late-stage startups and publicly traded companies.

Unlike stock options, RSUs are granted outright- employees don’t have to buy them, but they must meet certain conditions (like staying with the company for a set period) before they can own or sell them.

6. Convertible Equity

Convertible Equity is a flexible investment tool that allows startups to raise capital without immediately determining how much of the company they are giving away. Instead, the investment "converts" into equity later, typically during the next funding round when a valuation is established.

It is typically of the following types:

• SAFE (Simple Agreement for Future Equity) – A SAFE is a legally binding agreement where an investor provides capital in exchange for future equity, typically at a discount during the next funding round. Unlike a loan, a SAFE has no interest and no maturity date- it only converts when a priced round happens.

• Convertible Notes – Similar to SAFEs but structured as short-term debt, meaning they start as a loan and convert into equity later. Unlike SAFEs, convertible notes accrue interest and have a maturity date, meaning if the startup doesn’t raise a funding round, the investor could demand repayment.

How to Structure Equity from Day One?

Setting up equity correctly from the start is one of the most important decisions you’ll make as a founder.

A typical equity structure looks something like this, with founders holding the majority early on, investors gradually increasing their stake, and an ESOP pool set aside to attract and retain top talent.

If you give away too much too soon, you might lose control of your own company. If you don’t structure vesting properly, a co-founder could walk away with a huge chunk of equity after just a few months. If you don’t reserve enough for future hires, you may struggle to attract top talent when you need it most.

Here’s how to do it right:

1. Founder Equity Split: Fair vs. Equal

One of the biggest mistakes early founders make is assuming that an equal split (50/50, 33/33/33) is the best way to go. While it might seem fair, equity should be based on contributions, roles, and long-term commitment.

Key factors to consider during an equity split:

• Who came up with the idea? (Not the most important, but still a factor)

• Who is putting in the most effort? (Hours, expertise, and execution)

• Who is taking the most risk? (Quitting a job, investing personal funds)

• Who is leading the company? (CEO vs. supporting roles)

• Who will drive fundraising and revenue growth?

2. Vesting Schedules & Cliff Periods

A vesting schedule ensures that founders earn their equity over time rather than receiving it upfront. This prevents someone from walking away early with a large ownership stake.

A recommended vesting schedule in startups is 3-4 years with a 1-year cliff. Here’s what that means:

• 1-Year Cliff: No equity vests during the first 12 months. If the co-founder or employee leaves before completing a year, they receive nothing.

• After the Cliff: Once the first year is completed, 25% of the equity vests at once. After that, the remaining equity typically vests monthly or quarterly over the next 2-3 years.

3. Setting Up an Option Pool for Employees (ESOP)

A well-structured Employee Stock Option Plan (ESOP) is key to attracting and retaining top talent.

• Recommended Size: 10-15% of the total equity reserved for future hires.

• Who Gets It? Early employees, advisors, and key hires (not all employees).

• Vesting: Usually 4 years with a 1-year cliff, similar to founders.

• Strike Price: Typically set at the fair market value during issuance.

4. Allocating Equity for Investors

When raising funds, you must allocate a portion of your company to investors. The earlier the round, the higher the dilution, so plan accordingly.

Typical Equity Distribution by Stage:

• Pre-seed: Investors take 5-15%

• Seed: 15-25%

• Series A: 20-30%

• Series B+: Further dilution, but the goal is to maintain founder control

5. Legal Agreements & Documentation

To avoid confusion and legal disputes, always document equity agreements.

Key Documents Needed:

• Founder Agreement – Defines roles, responsibilities, and equity split.

• Cap Table – Tracks ownership stakes, vesting schedules, and dilution over time.

• Employee Stock Option Plan (ESOP) – Governs how employee equity is distributed.

• SAFE/Convertible Note Agreements – If you raise early funding before pricing your startup.

Final Thoughts

When building a startup, you need the right people on board- co-founders, early employees, and investors who believe in your vision. But how do you fairly compensate everyone when cash is tight?

Equity, in general, is about who contributes, stays, and benefits as a company grows. And, not all equity comes with decision-making power- some shares include voting rights, while others are purely financial stakes.

• A small business owner (e.g., a bakery owner) has 100% ownership but no equity because the business isn’t structured with shares.

• A startup founder may have 60% equity in the company but gradually lose ownership control as investors buy in and board members gain influence.

• An employee with stock options has equity but no control over the company’s operations.

Also, structuring equity for the future is just as important as getting it right initially. As your startup grows, new challenges will arise- bringing in co-founders, hiring key employees, and raising multiple funding rounds. Every startup is different, and the right equity split depends on your team, vision, and long-term goals.

Why Financial Projections Are Essential?

At their core, financial projections are estimates of your startup's future financial performance over a set period—typically one, three, or five years. These projections cover key elements such as revenue, expenses, and profits, giving you a clear picture of how your business might perform under various scenarios.

Financial projections often include:

• Revenue Forecasts – Estimating how much your business will earn through sales or services.

• Expense Estimates – Projecting the costs required to run the business, from salaries to marketing expenses to overhead.

• Profit Projections – Predicting the profit your business will make by subtracting your expenses from your revenue.

Startups often begin tracking their income and expenses once they validate an idea and start building the product. This tracking forms the foundation of your financial projections. Think of your financial projections as converting your business plan into numbers:

• How much will you spend on marketing?

• How many customers will you acquire in the first quarter?

• How much do you need to spend to reach your revenue goals in the next 5-6 quarters?

When Should You Build Financial Projections?

The ideal time to start building financial projections is when money starts moving out of your business—be it for development, research, or operations. Even if you’re in the earliest stages and just trying to keep things afloat, having a basic record of your expenses (even in something as simple as an Excel sheet) is crucial. The moment you kick off your Go-To-Market (GTM) strategy, it’s time to formalise your financial projections.

As a founder, especially in the pre-seed or seed stages, you may not have a lot of concrete data yet, and that’s okay. It’s perfectly normal. But you still need to make informed guesses or assumptions. These assumptions shouldn’t be arbitrary; they should be based on:

1. Industry Benchmarks:

Look at businesses in your space and see what’s typical. For instance, what does the average revenue per user look like for startups in your industry? How much does it cost to acquire customers in your sector? Using benchmarks from your industry will ground your projections in reality and give you a clearer picture of what’s possible for your business.

2. Competitor Analysis:

Take a close look at your competitors. How are they performing in similar market conditions? While you may not have access to their financials, plenty of public data points and third-party reports can give you insight into their growth patterns. If competitors are successfully growing and reaching profitability in your niche, you can use their trajectories to build your own projections, adapting based on your unique value proposition.

A good financial projection evolves with your startup’s growth. As you get more data, refine your assumptions and adjust your projections. If your financial projections aren't changing and adapting as you progress, your business isn't progressing as it should either.

When building financial projections, you might find yourself creating a financial model because projections are based on assumptions that need a structured framework for accuracy. A financial model allows you to break down these assumptions into measurable components—like revenue drivers, cost structures, and cash flow—which helps ensure your projections are realistic and grounded in data.

For example-

Your financial projections might show that you expect $500,000 in revenue by year three, but your financial model will allow you to explore different growth scenarios: What if your customer acquisition cost is higher than expected? What if you can increase your prices?

Financial Model vs. Business Model: What's the Difference?

As a founder, you’re juggling a million things. You’ve got a great idea, you’re building your product, and you’re thinking about how to market it.

But there are two things you absolutely need to get right from the start: your business model and your financial model. They sound similar, but they play very different roles in the success of your startup.

Let’s break it down in a way that’s easy to understand.

• A business model is the big-picture plan for how your company will create, deliver, and capture value. It outlines how your business will operate, generate revenue, and meet customer needs. Essentially, it’s the strategy that answers the question, “How does your business make money?”

• A financial model takes the business model a step further and focuses on its financial aspects. It’s a detailed, data-driven representation of how the business will generate income, incur expenses, and grow over time.

Example-

A subscription-based e-commerce platform that sells organic products might have a business model that includes:

• Value Proposition: High-quality, eco-friendly products delivered to your door.

• Revenue Stream: Monthly subscription fees.

• Channels: Online sales via a website and app.

The financial model might include:

• Revenue projections based on estimated customer acquisition and retention rates.

• Operating costs such as marketing expenses, platform development, and shipping costs.

• A timeline for reaching profitability, including projected monthly and yearly profit margins.

Simply put, your Business Model is about the what and why of your business, while your Financial Model is about the how much!

If your business plan defines your vision, your financial projections quantify it.

Components of a Financial Model

One financial model can’t serve all investors and can’t serve all stories, just like your pitch deck.

Every financial model is unique. However, there are four key components that every effective financial model should include:

1. Revenue Projections

• Estimate your income streams over a defined period (e.g., 2-3 years for early-stage startups).

• Break down revenue by product lines, markets, or customer segments.

2. Expense Projections

• Categorise your expenses into operational, marketing, and product development costs.

• Don’t forget hidden costs like legal, compliance, and customer support.

3. Cash Flow Analysis

• Highlight how money flows in and out of your business to identify gaps and ensure sustainability.

• Determine your cash runway and burn rate.

4. Growth Assumptions

• Use realistic, data-backed assumptions to forecast growth.

• Include metrics like Customer Acquisition Cost (CAC), Lifetime Value (LTV), and conversion rates.

How Can You Build Financial Projections for Your Early-Stage Startup?

1. Track Every Penny from Day One

It’s easy to overlook small expenses when you’re just starting out, but every dollar counts. Be it software for development or marketing ads for your launch, keep track of everything from the get-go. This will give you a clear picture of where your money is going and help you identify any leaks in your spending. You don’t need to use fancy tools from the start—a simple spreadsheet will do.

2. Make Smart Assumptions Early On

In the early days, you probably won’t have tons of historical data to rely on, and that’s okay. Use industry benchmarks and competitor insights to fill in the gaps. Look at similar startups or businesses in your niche to estimate revenue per customer, churn rates, or marketing costs. While these assumptions might not be 100% accurate, they will serve as a strong foundation.

3. Plan for the Next 2-3 Years

As an early-stage founder, the most critical thing is to focus on the time you can operate with your current cash flow before needing any funding. So, your financial projections should focus on the next 2 to 3 years.

This will cover the time leading up to your first or, preferably, the next fundraising round, allowing investors to see how you plan to grow and when you'll start becoming profitable. It’s okay if projections are rough—just ensure they show a realistic trajectory.

4. Revisit and Revise Every 6-8 Months

Your financial projections aren’t set in stone. As you gain more experience, collect accurate data, and refine your strategies, your initial assumptions will likely need some tweaking. Review your projections every 6-8 months to adjust for things like shifts in the market, unexpected expenses, or growth spurts.

Final Thoughts

Strong financial projections are a must when it comes to attracting investors or securing funding. They show that you’ve thought through the financial side of your business and that you have a clear path to profitability. However, in the case of early-stage startups, a solid financial projection can still leave a strong impression on investors. It shows that:

• You’re prepared for challenges.

• You understand the financial dynamics of your business.

• You have a clear plan to grow and sustain the business over time.

What Founders Can Learn from Medial’s Story?

As a kid, Niket spent hours on platforms like Quora, Reddit, and his favourite, Wikipedia, diving into stories about people, companies, and ideas. Over time, as the internet became cluttered, he saw the need for a more organised, professional space, and Medial was born.

And, the path after that has been nothing short of remarkable, particularly when you consider how hard it is for social media startups to make a mark in India. The Indian social media space has seen its share of challenges, with many platforms attempting to capture market share but struggling to sustain themselves.

Hike Messenger, once boasting 100 million users, shut down in 2021 after failing to compete with WhatsApp. Similarly, Koo, which gained popularity as an Indian alternative to Twitter, also struggled to maintain its momentum despite an initial surge in user growth. Though Mohalla Tech’s Sharechat and Moj amassed over 325 million users, they face financial difficulties. Similarly, short-video apps like Chingari, Mitro TV, Roposo, and others saw a surge after TikTok’s ban in 2020 but are now struggling, with Instagram Reels and YouTube Shorts dominating the space.

But, against the odds, a venture capitalist caught a glimpse of what Niket envisioned right from the get-go. Their first fundraising round was almost like a sprint - a couple of meetings, and boom; they had a term sheet ready.

However, Niket quickly learned that there's no magical formula for fundraising. The approach that had them sailing through their first round needed a rethink for the second.  Soon, they had tons of questions in their minds; some they figured out, and some they were still looking for answers to. 

If you're preparing for your first or the next fundraising round, you might ponder the same questions. So, let’s dive in!

1. How do investors view a situation where a third-party agency is responsible for building your product, and there’s no full-time tech person on your team?

It often comes down to execution. In the early stages, investors are primarily betting on your team and product because you don't have enough data to support your business yet. If you're outsourcing your tech, it's important to ensure the investors that the right technology is in the pipeline. Once you've completed the fundraising, it's recommended that you transition to in-house tech, as this will save you time and money.

2. Beyond having a well-defined team, what other key factors can influence fundraising for an idea-stage startup?

Having someone on your team who's been through the entire startup lifecycle and has successfully sold their company can boost credibility during fundraising. 

“When we were fundraising, we really started from scratch—just an idea and a Figma file. But what helped us immensely was my previous experience of building and successfully selling a startup. That background gave our team a certain credibility that made investors more open to our new venture, even at such an early stage.” - Niket

But it's not just about who's on your team. Knowing your market inside out, understanding exactly how many people could potentially be interested in your product (that's your Total Addressable Market, or TAM), and having a clear monetisation plan can make a world of difference. 

Persistence also plays a significant role. Investors need to see that you are unwaveringly committed to your idea, even if securing funding proves difficult. This kind of determination can be incredibly compelling and often wins investors over.

3. How can you determine when it's the right moment to approach an investor?

To determine the right time to approach an investor, consider the following factors:

• Market Validation: Ensure you have a validated concept with customer feedback or early traction. Have enough conviction on the problem statement and the target market space.

• Clear Milestones: Study your industry and identify key metrics demonstrating growth potential and a clear path forward.

  For example, a SaaS or B2B company has a clear revenue multiple, which might help you in the future. For other platform products, it can be impressions, Daily Active Users (DAUs), conversions, etc. 

• Financial Readiness: Prepare a solid financial model outlining how the investment will achieve growth. Whether it is for testing, building the product altogether, or marketing- a clear idea of how the investment can be helpful for both the team and the investor. 

4. How do you follow up with investors? 

When diving into meetings with investors, brace yourself for the reality of rejection. It's all part of the game, and getting a few (or many) "no's" is pretty standard. Don't let it dishearten you. 

Continue following up for up to two years. Yes, it sounds like a marathon because it is! Be courteous in your approach and ask if they would like you to keep in touch, but don’t stop unless they ask you to. Here's how you can keep the momentum without being pushy:

• Send a thank-you email right after the meeting, highlighting key points and your excitement.

• Be upfront about when they'll hear from you next, especially if it's tied to a significant achievement or milestone.

• Keep them in the loop with your wins, whether you've snagged an outstanding new team member or made exciting product strides.

• If things seem a bit uncertain, don't shy away from asking for feedback or what steps they suggest next.

5. Does not having a co-founder or a traditional team impact an investor's decision?

Honestly, it’s nearly impossible for a single founder to raise funds successfully. When there are multiple founders, investors often feel more comfortable taking the leap. They're not putting all their eggs in one basket, so to speak, which can make a big difference in their willingness to invest.

Four founders are often considered ideal. However, going beyond four can complicate decision-making due to the number of stakeholders involved. A team of two to four founders strikes a good balance. 

For single founders, raising funds can also raise specific legal hurdles that are more easily navigated with a team.

6. What types of dilution & valuation can be expected at various stages of the fundraising journey?

In the fundraising journey, dilution and valuation typically evolve through different stages:

• Pre-seed Stage: Valuations are usually low, and initial funding dilution should not exceed 10%. In the worst-case scenario, you can go up to 15%. 

• Seed Stage: Valuations increase with early traction, leading to around 15% dilution for new investors. If you’ve not raised a pre-seed, the dilution can be 20-25%.

• Series A: Valuations are higher, often in the millions, with a potential of approx 10-20% dilution.

7. Should early-stage founders consider seeking government grants?

Seeking government funding as an early-stage founder can be a good idea. Government grants and programs often provide financial support with fewer strings attached compared to venture capital. They can help you develop your product and gain traction without diluting equity early on. 

However, the application process can be lengthy and competitive. So, you’ve got to ask yourself if it's worth the wait and effort, considering what you need right now and where you're trying to go.

On a side note, there’s a bit of a side-eye from some VCs when you talk about leaning on government funds. The legal red tape and delayed processes can affect the adaptability and agility of your startup. 

8. Do investors have a favourable or unfavourable view of teams made up of spouses or relatives?

Partnerships between spouses or family members can be viewed with mixed opinions in the business world. On the one hand, a lot of good can come from it, like an unbeatable level of trust, a shared dream for what the business can become, and an iron-clad commitment to making it work. Some investors might see potential challenges related to conflicts of interest or difficulties in separating personal and professional issues. 

It all boils down to how professional the individuals are, how well you overcome any obstacles, and how you manage to sell your family partnership as a strength to potential investors.

9. How do you create an effective pitch deck?

Here's some genuine advice: The more you pitch, the better you'll get. It’s normal not to know all the answers at first, but with experience, you'll figure things out. Dive deep into your industry—understand the metrics, total addressable market (TAM), problem statements, and your team.

In the early stages, investors primarily invest in you, not just your deck or idea. Therefore, it's beneficial to create your pitch deck using the right templates and resources.

10. Are the multiples the same for B2B SaaS and B2C SaaS?

The valuation multiples for B2B SaaS and B2C SaaS companies are generally different. B2B SaaS companies typically have higher revenue multiples because of their predictable subscription revenue, longer contract durations, and better customer retention rates. 

In contrast, B2C SaaS companies may have lower multiples due to higher customer acquisition costs and the volatility in consumer spending patterns. The multiples can vary based on market conditions, growth rates, and the overall economic environment.

11. How much time does it typically take for the funds to hit the bank account?

From the moment you begin fundraising, the funds may take up to six months to be deposited into your bank account. For pre-seed or seed rounds, this timeframe can be shorter. Then, there are times when the fundraising round can go on and on!

“For my 2nd round of fundraising, I remember having nine meetings over four months. There were moments when I honestly thought my company might not make it past two months. Just when I was starting to feel the pressure, the cheque came through right when I needed it. It was such a relief!’- Niket

It's advisable to avoid fundraising from September to January, as November and December are particularly busy months for investors.

12. What steps are involved in the fundraising journey- from pitching to receiving funds?

The fundraising journey typically involves several key steps:

• Develop a solid business plan and pitch deck.

• Present your idea to investors.

• A term sheet is issued outlining the key terms of the investment.

• Investors conduct thorough assessments of your business.

• Discuss the terms and conditions of the investment.

• Finalise Shareholder agreements and legal documentation.

• Receive the funds in your bank account.

If you’re in a foreign country, you'd want to know at least the basics of the language, right? Maybe how to greet people, ask for directions, or order food. It's similar when you're stepping into the startup fundraising ecosystem. The "language" in this case consists of terms like 'equity” 'valuation” 'seed funding” 'venture capital” and so on.

Knowing these terms is essential for initiating conversations with investors and understanding the landscape you're stepping into.

Here’s a quick rundown of some fundamental terms you should be familiar with:

Equity

Ownership interest in a company, represented by shares of stock. This is what investors receive in exchange for their investment and determines their share of profits and control in the company.

Equity Percentage = (Number of Shares Owned / Total Shares Issued) * 100

Sweat Equity

The non-monetary investment that owners or employees contribute to a startup.

Sweat Equity Value = (Hourly Rate * Hours Worked) / Total Shares

Valuation

Valuation is the process of determining a company's current worth. It affects the percentage of equity investors receive and is crucial for negotiating funding deals. There are two types: Pre-money valuation (value before new investment) and Post-money valuation (value after new investment).

Valuation Cap

A Valuation Cap is commonly used in convertible notes or SAFEs (Simple Agreements for Future Equity). It sets a maximum limit on the company’s Valuation at the time of conversion into equity, benefiting early investors.

Runway

The amount of time a startup can operate before it runs out of money.

Runway = Cash balance / Burn rate (monthly expenses)

Burn Rate

The rate at which a company spends its cash reserves. There are 2 types of Burn rates: Gross burn (total monthly expenses) and net burn (monthly expenses minus revenue).

Burn Rate = Total Monthly Operating Expenses - Monthly Revenue

Cap Table (Capitalization Table)

Cap Table is a spreadsheet that shows the ownership stakes, equity dilution, and value of equity in a company. It helps manage equity distribution and is crucial for understanding ownership structure.

A typical table includes Founders' shares, investors' shares, option pools, and convertible securities.

Ownership Percentage = (Number of Shares Owned by Shareholder / Total Shares Issued) * 100

Option Pool

A portion of a company's shares reserved for future issuance to employees, advisors, or board members.

Convertible Note

A form of short-term debt that converts into equity, typically in conjunction with a future financing round.

SAFE (Simple Agreement for Future Equity)

An agreement between an investor and a company to provide future equity without setting a valuation at the time of the initial investment. They simplify early-stage investments and align investor and founder interests.

Dilution

The reduction in existing shareholders' ownership percentage due to the issuance of new shares.

Dilution = New shares issued / Total shares outstanding after issuance

Term Sheet

Term Sheet is a non-binding agreement that outlines the terms and conditions of an investment. A term sheet sets the groundwork for the final investment agreement and helps align expectations.

It outlines essential components like Valuation, investment amount, equity stake, liquidation preference, and board composition.

Vesting Schedule

Vesting Schedule is a timeline over which employees or founders earn their equity shares. Instead of receiving all the equity upfront, it is distributed over a set period, ensuring continued contribution to the company.

For example, a common vesting schedule might be over four years, with a one-year cliff (no equity is earned during the first year, but after the first year, 25% is vested).

ROI (Return on Investment)

ROI measures the gain or loss generated on an investment relative to the amount of money invested.

ROI = (Net Profit / Initial Investment) * 100

Pro Rata Rights

Pro Rata Rights are the rights of existing investors to participate in future funding rounds to maintain their ownership percentage.

Contribution Margin (CM)

Contribution margin represents the portion of sales revenue that exceeds total variable costs. It is an important metric that helps businesses understand the profitability of individual products and services.

A high contribution margin could mean you’re not investing enough in growth, while a low one could mean you’re burning too much cash.

CM1 = Revenue - Direct expenses ( Business expenses like labour costs, product development costs)

CM2 = CM1 - Indirect expenses (Expenses like shipping, logistics, or warehouse)

EBITDA

EBITDA stands for Earnings Before Interest, Taxes, Depreciation, and Amortization. It is a financial metric used to assess a company's operating performance.

EBITDA = Net income + Taxes + Interest expenses + Depreciation + Amortization

It shows a company’s profitability before accounting for costs like interest, taxes, and non-cash items such as depreciation and amortization.

Companies at the Series B stage typically receive investments of more than INR 100 Crores.

The common Series B investors are-

• Late-stage Venture Capital

• Corporate Venture Capital

• Private Equity Firms

**Corporate Venture Capital is a good option for Series B and beyond.

Series C

At this stage, the businesses often aim to develop new products, expand into new markets, or even engage in brand acquisitions through the startup funding process. During the Series C stage, new investors emerge to contribute to a company's stable revenue stream. 

Common Series C investors include:

• Private equity firms

• Late-stage venture capitalists

Although additional funding rounds, such as Series D and E, are available, the businesses eligible for these rounds can no longer be considered startups in the truest sense. • Business Plan: A comprehensive business plan outlining your startup's mission, vision, target market, competitive landscape, revenue model, and growth strategy.

• Valuation Report: When seeking funding for startups, having a valuation report is a must, as per the Companies Act, 2013, and the Income Tax Act, 1961. This report, conducted by registered valuers or merchant banking, helps establish the fair market value of shares. 

Note: DPIIT-registered startups may be eligible for certain exemptions related to valuation requirements.

• Financial Statements: Up-to-date financial statements, including the income statement, balance sheet, and cash flow statement. 

• Term Sheet: A non-binding document outlining the basic terms and conditions of the investment. This includes details such as valuation, investment amount, ownership stake, investor rights, and other key terms. 

• Confidentiality Agreements: A legal contract that outlines the terms and conditions for sharing confidential information while preventing its unauthorized disclosure.

• Share Subscription and Shareholders’ Agreement (SSHA): A document that lays down the rights of the Investors as per the shares issued to them. Some of the important provisions included in this agreement are Capitalization Table, Transfer Restrictions, Exit Rights, etc.

What are the different types of Equity incentives?

Equity compensation can be facilitated in multiple ways. 

• Employee Stock Options (ESOPs)

• Employee Stock Purchase Plan (ESPP)

• Stock Appreciation Rights (SAR)

• Restricted Stock Unit (RSU)

Why should you look at ESOPs as a startup?

If you are a growing startup, ESOPs can be quite helpful in retaining your employees and compensating them for their long-term association with the company. 

What is the typical lifecycle of an ESOP?

1. Framing ESOP Policy Document

2. Granting of ESOPs through a Grant Letter 

3. Vesting of ESOPs as per the schedule

4. Exercising ESOPs at a predetermined discounted price 

Is there any liability of TDS for employees?

For permanent employees, there isn’t any liability as such. It is mainly incorporated within Income Tax. The TDS liability can be there for contractual employees provided they are issued SAR units.

Can we provide ESOPs to consultants?

ESOPs, being Employee Stock options, can only be issued to permanent, full-time employees. For consultants or contractual employees, equity incentives can be provided as phantom stock plans like SARs or RSUs in exchange for cash. 

How do you decide when is the best time to set up an ESOP scheme?

Right from the beginning! For any startup, bootstrapped or not, you should have an ESOP scheme in place to incentivise your employees and motivate them. 

How do you determine the price for issuing equity for bootstrapped startups? 

There are multiple ways to go about it. Most companies allow their employees to have exercise prices equal to the face value of the equity share while some can base their exercise prices on the valuation exercises done every year. It is advisable to go for an option valuation, which basically helps you determine a lesser share value that you can allot shares at for your employees and give them a discounted exercise price. 

If we don’t want to decide on a price right now, can we skip mentioning the exercise price in the ESOP policy document?

It’s possible. You can just specify that the exercise price in terms of every grant will be decided by the company founders and the Board at the time of the grant and will be mentioned in the grant letter.

What are some of the important terms to be mentioned in the Grant Agreement?

A Grant Agreement is a direct agreement between the company and the employee. It must contain:

• Number of units you are issuing to them;

• Requirements and period of vesting;

• Exercise price; etc. 

Wouldn’t issuing equity with an exercised price similar to FMV increase the tax liability?

Of course, it would be a higher tax liability but there are many ways to minimise it. Most big companies go for this structure as they have confidence in their buyback programs and ensure that the tax never goes out of an employee’s pocket.

What are some liquidity events other than fundraising for Private limited companies? (In the context of employees) 

• Buyback programs

• Private Secondary Transactions with Investors 

When does the indexation benefit come into play?

The indexation benefit comes only into effect when ESOPs are exercised and held for a period longer than 2 years. If the exercise event and liquidity event happen at the same time as in most buyback scenarios, short-term capital gains come into effect instead of indexation benefits. 

What percentage of the overall stock pool of a startup would be considered an ideal ESOP pool?

This primarily depends on the share structure and can vary from one company to another. In most early-stage startups, the range is between 5-15% and can grow over time as your company's strength increases. 

Can we create an ESOP pool prior to the VC round or funding round? Does the valuation get set there?

You can always create an ESOP pool with the face value prior to the VC round or funding. No,  there isn’t any valuation generated for the same. 

Will the phantom stock options issued to contractual employees be reflected in the PNL as a cost item?

Yes, they do. But the same applies to ESOPs as well. The expenses that you are incurring by giving a notional shareholding to your employees are also calculated and accounted for.

Can we increase our ESOP pool limit on a need basis?

Yes, any entity in the cap table can increase its shareholding, provided your board allows it. It is advisable to go for sizeable increments as each time you decide to increase your company’s ESOP pool, there are several compliances & regulatory steps to be followed. 

If the face value of a share is Rs. 1 and the fair market value comes up to Rs. 500 in the latest valuation report, can we issue the ESOPs at the face value instead of FMV? Are there any tax implications on the date of issue?

It is possible as long as you haven’t mentioned anything significant about the exercised price and have the Board's consent for the same. 

There are no tax implications on the date of the issue and liabilities only occur during the exercising or selling of the shares.

It is referred to as networking and bringing a group of investors together to partake in a funding process. Let’s say you are raising $500K, then you can bring in 3 potential investors where one can be a lead investor investing up to $300K, and the others can invest the remaining.

5. Is it essential to have a background?

The background should not necessarily be based on your educational qualification or the number of successful startups you have had. Even the failed experiences can be counted as a background, provided you can attribute all your learnings, insights, and challenge-solving skills. 

6. Are there any age criteria Investors look at? 

No. There would be a preference for years of experience in certain sectors, but age can never be a determining factor. 

7. If a startup deals with two different sectors simultaneously, how to categorize yourself while pitching? 

Your categorization should be based on what response you are expecting from the Investor, and you can customize accordingly. 

8. How important is unit economics while evaluating the investment?
